Appointment of New Chairman

 

As set out in the Prospectus dated 11 April 2014, Alan Thomson intends to stand down after the Company's first Annual General Meeting ("AGM") on 27 May 2015. The Board has completed a process to appoint Mr Thomson's successor and announces that Ron Marsh, the Senior Independent Director, will be appointed Chairman, with effect from the conclusion of the Company's AGM.

 

Ron Marsh was appointed to the Board of Polypipe Group plc on 28 March 2014. Mr Marsh is also a non-executive director of British Polythene Industries plc and was, from 1989 until 2013, Chief Executive of RPC Group. Mr Marsh is also Chairman of the UK based Packaging Federation.

Polypipe Group plc ("the Company"), a leading manufacturer of plastic piping systems for the residential, commercial, civils and infrastructure sectors, announces that Peter Shepherd, Chief Financial Officer, has informed the Board of his intention to retire from the Group.

 

Peter wishes to retire close to his 60th birthday which falls during July 2016, after over 10 years with the Company, having joined in his current role, in January 2006.

 

We are pleased to announce that Martin Payne will succeed Peter Shepherd as Chief Financial Officer and a member of Polypipe's Board on a date yet to be determined, which will allow Martin to fulfil his existing contractual obligations and provide an effective handover period with Peter.

 

Martin has served as Group Finance Director at Norcros plc, a leading supplier of branded showers, taps, bathroom accessories, tiles and adhesives, since March 2011. He is a Fellow of the Chartered Institute of Management Accountants and his previous experience includes holding senior financial positions at JCB, the construction equipment manufacturer, and at IMI plc, the British-based engineering company. Prior to this, Martin spent six years as Finance Director at H&R Johnson Tiles Ltd.

David Hall, Chief Executive Officer, to retire and to be succeeded by Martin Payne, Chief Financial Officer

 

 

Polypipe Group plc  ("Polypipe" or the "Group") a leading manufacturer of plastic piping and ventilation systems for the residential, commercial, civils and infrastructure sectors, today announces that David Hall has decided to retire from Polypipe and his role as Chief Executive Officer (CEO), effective 2 October 2017.  He will be succeeded by Martin Payne, currently Polypipe's Chief Financial Officer (CFO). 

 

David has been the Chief Executive Officer of the Company since 2005, leading Polypipe's strategy and playing an integral role in the Group's growth and development, including its successful listing on the London Stock Exchange in 2014.

 

Martin has been the Chief Financial Officer at Polypipe Group plc since May 2016. Previously, Martin  served as Group Finance Director at Norcros plc, a leading supplier of branded showers, taps, bathroom accessories, tiles and adhesives. He is a Fellow of the Chartered Institute of Management Accountants and his previous experience includes holding senior positions at JCB, the construction equipment manufacturer, and at IMI plc, the British-based engineering company.

 

Polypipe is also pleased to announce today the appointment of Glen Sabin to a newly created position of Chief Operating Officer, effective 2 October 2017. In this role, Glen will be responsible for the operations of the Group, reporting to Martin, and will sit on the Board. Glen has been a member of the Executive Committee since 2005, most recently as Divisional Head of Polypipe's UK plumbing and drainage businesses since January 2014 and prior to that as Managing Director of its Civils business from 2004. He has 40 years' experience in the construction sector starting as an engineer with George Wimpey and 22 years with Marshalls plc.

 

A process to appoint a replacement Chief Financial Officer is underway. Martin will continue to oversee the finance function until a permanent successor is appointed.

Louise has over 25 years' experience in the construction sector, including working for Laing O'Rourke as Infrastructure Director within CLM, the consortium delivery partner for the Olympic Delivery Authority for the London 2012 Olympics. Louise has also worked at Bechtel Limited, AECOM and London Underground Limited. Louise is a Fellow of the Institution of Civil Engineers and a Fellow of the Chartered Management Institute.      

Louise currently holds Non-Executive Director roles at Crest Nicholson Plc, Sirius Minerals plc, North West Cambridge Development as well as Ebbsfleet Development Corporation, a non-departmental public body sponsored by the Department for Communities and Local Government.

Louise was formerly a partner at Arcadis LLP and is currently Global Development and Strategic Planning Advisor for Consilio Strategic Consultancy Limited. Louise is currently a governing board member of Birmingham City University, Chair of the Board of All We Can (Relief & Development Agency), a regional Board member of Midlands CBI, a Board Trustee of the Land Trust and a Trustee of Birmingham Museum & Art Gallery. 

Lisa has over 20 years' business experience working at executive director level in large multinational corporations both private and publicly listed with a strong background in strategic and financial business change. Lisa is a member of the Australian Institute of Company Directors and a Chartered Accountant. Lisa's most recent executive role was with the Morgan Sindall Group as Managing Director of MS Investments, and prior to this she held executive roles with Laing O'Rourke, having led their infrastructure investing activities globally, and Stockland Group and Westfield Group in Australia. Lisa has been a director of various public private partnerships, most recently as the Deputy Chair PIDG.

Polypipe Group plc, a leading provider of sustainable water and climate management solutions for the built environment, is pleased to announce the appointment of Kevin Boyd as a Non-Executive Director with effect from 22 September 2020. Kevin will Chair the Audit Committee and be a member of the Nomination and Remuneration Committees.

Kevin is a senior finance executive with an engineering and manufacturing sector background, with extensive listed plc experience, bringing a strong combination of financial, strategic and multi-organisational expertise. He is currently the Chief Financial Officer of global engineering group Spirax-Sarco Engineering plc and has indicated his intention to retire from this role before the end of 2020. Kevin was previously Group Finance Director for Oxford Instruments plc, and prior to that, Group Finance Director of Radstone Technology plc. He also previously held senior finance positions within Siroyan Ltd and the TI Group (now Smiths Group plc). Kevin is a Chartered Engineer, a Chartered Accountant and a Fellow of the Institute of Chartered Accountants and the Institution of Engineering and Technology.

Paul Dean will step down as a Non-Executive Director on 6 August 2020, having served as a Non-Executive Director since the Company's IPO in 2014. The Board would like to thank Mr Dean for his valuable contribution over the last six years and wishes him well in his future endeavours.

As a result of Mr Dean's impending retirement from the Board, Mark Hammond has been appointed as the Senior Independent Director with immediate effect. Louise Brooke-Smith will assume the role of the designated employee engagement NED in Mr Hammond's place, also with immediate effect.

Mr Boyd is currently an executive director of Spirax-Sarco Engineering plc, a company listed on the London Stock Exchange, and a Non-Executive Director and Audit Committee Chair of EMIS Group plc, an AIM listed company.  Mr Boyd was also an executive director of Oxford Instruments plc, a company listed on the London Stock Exchange, from August 2006 to April 2016.
